These Terms govern access to and use of tehil.io (the "Platform"), operated by [Company legal name] ("tehil.io", "we"). By creating an account or using the Platform, you accept these Terms. Specific commercial conditions agreed in an order form or partner agreement prevail over these Terms.

Part A — General terms

A1. Accounts. You must be a business or professional, at least 18, and provide accurate information. You are responsible for your credentials and all activity under your account.

A2. Acceptable use. You must not: generate fraudulent impressions or clicks (bots, incentivized traffic, self-clicking); reverse-engineer the Platform or SDK; use the Platform for illegal, misleading or harmful content; or interfere with the Platform's security or performance.

A3. Intellectual property. The Platform, SDK, algorithms and reporting remain our property. We grant you a limited, non-exclusive, non-transferable licence to use them for the duration of your account. You keep all rights to your content (creatives, brand assets, chat content) and grant us a licence to use it solely to provide the service.

A4. Data protection. Each party complies with applicable data protection laws, including the GDPR. Processing of end-user data is governed by our Privacy Policy and, for publishers, by our Data Processing Agreement.

A5. Confidentiality. Commercial terms, including revenue shares and pricing, are confidential and may not be disclosed without the other party's consent.

A6. Availability. We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced when possible.

A7. Liability. The Platform is provided "as is". To the extent permitted by law, we are not liable for indirect damages, lost profits or lost revenue. Our total liability is capped at the amounts paid or payable to or by you in the 12 months before the claim. Nothing limits liability that cannot be limited by law.

A8. Suspension and termination. Either party may terminate with [30] days' written notice. We may suspend an account immediately in case of fraud, breach of these Terms, legal risk or non-payment.

A9. Changes. We may update these Terms. Material changes will be notified by email [30] days in advance. Continued use after that date means acceptance.

A10. Governing law. These Terms are governed by the laws of [country]. Disputes fall under the exclusive jurisdiction of the courts of [city], subject to mandatory consumer or local rules.

Part B — Advertiser terms

B1. Campaigns. Advertisers create campaigns on our network of AI apps, on connected channels such as ChatGPT Ads, or both. Campaigns on third-party channels are also subject to that channel's own policies.

B2. Pricing and billing. Campaigns are billed on a CPC, CPM or CPA basis as selected at setup. Minimum budget: [amount]. Payment by [prepaid balance / card / invoice, net X days]. Amounts are exclusive of VAT.

B3. Ad content. Advertisers are solely responsible for their creatives, landing pages and claims, and guarantee they are lawful, accurate and not misleading. Prohibited categories include: [illegal products, weapons, adult content, gambling where unlicensed, unapproved health claims, political ads: to complete]. We may review, reject or remove any ad.

B4. Labeling. All sponsored answers are labeled "Sponsored". Advertisers may not request removal of this label or placement inside the AI's own answer.

B5. Measurement. Our reporting is the reference for billing. Invalid traffic detected after the fact is credited back to the advertiser.

B6. No guarantee of results. We do not guarantee a volume of impressions, clicks or conversions.

Part C — Publisher terms

C1. SDK integration. Publishers integrate our SDK into their AI chat according to our documentation. They decide where sponsored answers appear, may block categories or advertisers, and may cap frequency.

C2. Revenue share. Publishers earn a share of the advertising revenue generated by sponsored answers in their chat. The applicable share is set in each publisher's agreement or dashboard and may differ by publisher, channel or offer.

C3. Payouts. Earnings are calculated monthly based on our reporting, net of invalid traffic. Payment is made [X] days after month end, once the minimum payout threshold of [amount] is reached. Publishers are responsible for their own taxes.

C4. Publisher obligations. Publishers must: inform their users, in their own privacy notice, that their chat displays sponsored content selected by a third-party provider; obtain any consent required by law; not artificially generate traffic or interactions; and not use the SDK in chats directed primarily at children.

C5. Free custom chat. When tehil.io builds and operates a custom chat for a publisher at no charge:

  • tehil.io covers build, hosting and AI model costs;
  • the revenue share reflects these costs and may differ from the standard SDK offer;
  • the chat displays sponsored answers by default; [specify whether the publisher can disable them];
  • ownership: [publisher owns its content and brand; tehil.io owns the chat software and infrastructure: to confirm];
  • on termination, [the chat is deactivated / publisher may export its content: to define];
  • tehil.io may set fair-use limits on conversation volume, specified in the publisher's agreement.

C6. Brand safety. We exclude sensitive conversations and prohibited categories from sponsored placements. Publishers can report any inappropriate ad, which we will review promptly.
